PRAKAS NO. 117 ON THE SIMPLIFICATION OF BUSINESS REGISTRATION: COMPANY REGISTRATION

Historically, commercial registration in Cambodia was complex and time-consuming due to the lack of an integrated digital system. Despite the establishment of the www.registrationservices.gov.kh platform, certain documentary requirements remained ambiguous and scattered across various legal regulations. To address these challenges, the Ministry of Commerce (“MoC”)issued a Prakas on the Simplification of Commercial Registration dated December 9, 2025, aimed at streamlining procedures and providing clarity for entrepreneurs. In this news, we will show explain shortly on 1. Key changes in Commercial Registration 2. Document requirements by Entity type and 3.Commercial Registration workflow.

1. Key Changes in Commercial Registration

  • Document Verification: Previously, verifying documents for shareholders who are legal entities was ambiguous; generally, the Ministry only recognized certifications from a Notary Public. The new Prakas expands these options, allowing certifications from a Cambodian Notary Public, Embassies, Consulates, or Chambers of Commerce recognized by the Ministry of Commerce.
  • Reduction of Paperwork: Several physical application forms have been abolished and replaced by a more user-friendly digital format.
  • Background Checks: Instead of requiring a hard-copy "Letter of Declaration of Integrity," the MoC now utilizes integrated technology to conduct digital background checks on individuals to ensure Anti-Money Laundering (AML) compliance.

2. Document Requirements by Entity Type

Companies (Private/Public Limited Companies)

  • Proof of address (Ownership title, lease agreement, or notarized purchase-sale agreement).
  • Articles of Incorporation.
  • ID Cards or Passports of shareholders, directors, or representatives of the legal entity.
  • Photos (4x6, white background, taken within the last 3 months).

Partnerships (General/Limited Partnerships)

  • Proof of address.
  • Partnership Contract.
  • ID Cards or Passports of partners and managers.
  • Photos (4x6, white background, taken within the last 3 months).

Sole Proprietorships

  • Proof of address.
  • ID Card or Passport of the owner/manager.
  • Photos (4x6, white background, taken within the last 3 months).

Foreign Commercial Entities (Branch or Representative Offices)

  • Proof of address.
  • Certified copies of the original Certificate of Incorporation and Articles of Association (certified by a Cambodian Notary Public, Embassy, Consulate, or recognized Foreign Chamber of Commerce).
  • Power of Attorney or Board Resolution for the establishment of the foreign entity and the appointment of a legal representative.
  • ID Card or Passport of the representative.
  • Photos (4x6, white background, taken within the last 3 months).

Note: For shareholders in Companies or Partnerships that are legal entities, certified copies of registration documents must be provided. Furthermore, the Ministry will conduct digital background checks on all directors and shareholders to replace physical integrity declarations.

3. Commercial Registration Workflow

  • Application: Complete the information and attach required documents via the CamDX (Single Portal) system.
  • Payment: Pay the integrated service fees through the online banking system.
  • Automated Review: The system performs a preliminary verification of documents before forwarding them to Ministry leadership for approval.
  • Issuance of Certificate: A digital Certificate of Commercial Registration is issued to the applicant via the online system.
  • Data Integration: Data is automatically forwarded to the General Department of Taxation (GDT) and the Ministry of Labour and Vocational Training (MLVT) to complete the remaining legal compliance procedures.
